These Terms of Use govern your access to BuildSFY and all services we provide. Please read them carefully — they're written to be understood, not obscured.

These Terms of Use ("Terms") constitute a legally binding agreement between you and BuildSFY, operated by Dylan Fowler in Ontario, Canada. By accessing or using buildsfy.ca or any associated services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

Introduction & Acceptance

These Terms govern your access to and use of buildsfy.ca and all services provided by BuildSFY, operated by Dylan Fowler in Ontario, Canada. They apply to all visitors, registered users, and clients who purchase or use any BuildSFY service.

By creating an account, purchasing a plan, submitting an inquiry, or using any part of the platform, you agree to these Terms in full. If you do not agree with any part of these Terms, you must not access or use the platform.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any reference to "we," "us," or "BuildSFY" refers to Dylan Fowler operating as BuildSFY. Any reference to "you" or "client" refers to the individual or entity accessing the platform.

Services Description

BuildSFY provides custom web development, AI integration, digital systems design, and ongoing website care services to small businesses and entrepreneurs. Services are delivered through a structured project-based model: clients select a plan, a dedicated project workspace is created, and work is delivered according to the agreed scope and timeline.

BuildSFY is a sole-proprietor operation. All work is performed directly by Dylan Fowler unless otherwise disclosed in writing prior to project commencement. Any use of contractors or third-party collaborators will be communicated transparently.

The specific deliverables, features, and scope of each engagement are defined through the onboarding process within the project workspace. Services described on the website are illustrative and subject to the specific terms agreed upon at the time of purchase.

Account Registration & Eligibility

To access certain features of the platform, including purchasing services and managing projects, you must register for an account. By registering, you represent and warrant that:

  • You are at least 18 years of age.
  • You have the legal capacity to enter into binding contracts.
  • All information you provide during registration is accurate, current, and complete.
  • You will maintain the accuracy of your account information and update it as necessary.
  • You are responsible for maintaining the confidentiality of your account credentials, including your password.
  • You are solely responsible for all activity that occurs under your account, whether or not authorized by you.

You must notify BuildSFY immediately at [email protected] if you suspect any unauthorized use of your account. BuildSFY reserves the right to suspend or permanently terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to the platform or other users.

Plans, Payments & Billing

BuildSFY offers tiered service plans — Launch Essential, Launch Business, Launch Advanced, and Custom — each with a two-phase billing model:

  • Phase 1 — Build Fee: A one-time fee charged at the start of the project, covering the design and development of your website. This fee is determined by the selected plan.
  • Phase 2 — Website Care Subscription: An optional recurring monthly subscription providing ongoing maintenance, updates, and support. A 30-day free trial may be offered at BuildSFY's discretion.

All prices are displayed and charged in Canadian dollars (CAD) unless otherwise explicitly stated. Applicable taxes will be added where required by law.

Payments are processed securely by Stripe, Inc. By completing a purchase, you agree to Stripe's Terms of Service and Privacy Policy in addition to these Terms. BuildSFY does not store your payment card information directly.

Website Care subscriptions renew automatically on a monthly basis unless cancelled before the renewal date. BuildSFY reserves the right to adjust pricing for subscription plans with a minimum of 30 days' written notice to existing subscribers. Continued use after the effective date of a price change constitutes acceptance of the new pricing.

Cancellation & Refunds

Subscription Cancellation: You may cancel your Website Care subscription at any time from your account dashboard. Upon cancellation, your subscription will remain active until the end of the current billing period, after which it will not renew. No partial refunds are issued for unused portions of a billing period.

Build Fee Refunds: The one-time build fee is non-refundable once project work has commenced. Project work is deemed to have commenced at the earlier of: (a) 48 hours after the purchase is completed, or (b) the first activity within the project workspace (including submission of the onboarding form or any communication within the workspace).

Exceptional Circumstances: Refund requests arising from exceptional circumstances — including but not limited to BuildSFY's material failure to deliver the agreed scope — must be submitted in writing to [email protected] within 14 days of the triggering event. BuildSFY will review each request in good faith and respond within 10 business days. Approved refunds will be processed to the original payment method within 5–10 business days.

Chargebacks: Initiating a chargeback or payment dispute with your financial institution without first contacting BuildSFY and allowing a reasonable opportunity to resolve the matter may result in immediate account suspension and may affect your eligibility for future services.

Project Scope & Delivery

The scope of each project is formally defined through the onboarding form completed within the project workspace following purchase. This scope document governs what is included in the build fee and forms the basis of the deliverables.

BuildSFY will make reasonable, good-faith efforts to deliver projects within estimated timelines communicated during onboarding. However, all timelines are estimates and not contractual guarantees. Delivery timelines may be affected by factors outside BuildSFY's control, including third-party service availability, technical complexity, or scope changes.

Client delays — including but not limited to failure to provide required content, brand assets, feedback, or approvals within a reasonable timeframe — may extend delivery timelines without liability to BuildSFY. BuildSFY will communicate any timeline impacts promptly.

Revision rounds are included as described in the purchased plan. Revision requests that fall outside the agreed scope, or that exceed the included revision rounds, may be quoted and billed separately at BuildSFY's standard hourly rate. Scope changes requested after project commencement may also affect the timeline and total cost.

Intellectual Property

Upon receipt of full payment of the build fee, the client receives full ownership of the final delivered website code and all design assets created specifically and exclusively for their project. This transfer of ownership takes effect only upon complete payment and does not apply to any third-party components incorporated into the project.

BuildSFY retains the right to display completed work in its portfolio, case studies, and marketing materials unless the client submits a written request to opt out prior to or within 30 days of project delivery. Such requests should be sent to [email protected].

Third-party components, open-source libraries, fonts, stock photography, icons, and other licensed assets incorporated into the project remain subject to their respective licenses. BuildSFY will disclose significant third-party dependencies upon request. The client is responsible for ensuring continued compliance with those licenses after project handoff.

BuildSFY's own brand identity, logo, platform code, proprietary tools, templates, internal systems, and all intellectual property not specifically created for the client's project remain the exclusive property of BuildSFY and Dylan Fowler. No license to these assets is granted by these Terms.

Account Deletion & Data

You may request deletion of your account at any time from the Security page within your account settings. Account deletion is subject to the following process:

  • Upon initiating deletion, your account enters a 7-day grace period during which it is suspended and cannot be used.
  • After the 7-day grace period, your account and all associated personal data are permanently and irreversibly deleted from BuildSFY's systems.
  • To cancel a scheduled deletion, contact [email protected] before the 7-day window expires. Cancellation requests received after this period cannot be honoured.
  • Any active Website Care subscriptions are cancelled immediately upon account deletion request. No refund is issued for the remaining subscription period.
  • Certain data may be retained for a limited period as required by applicable law or for legitimate business purposes (e.g., financial records, legal obligations).

Prohibited Conduct

By using the BuildSFY platform, you agree not to engage in any of the following prohibited activities:

  • Using the platform for any unlawful purpose or in violation of any applicable local, provincial, federal, or international law or regulation.
  • Transmitting, uploading, or distributing malware, viruses, ransomware, or any other harmful or malicious code.
  • Attempting to gain unauthorized access to any part of the platform, its servers, databases, or connected systems.
  • Harassing, threatening, intimidating, defaming, or abusing BuildSFY staff, contractors, or other users.
  • Misrepresenting your identity, affiliation, or authority when using the platform or communicating with BuildSFY.
  • Engaging in fraudulent activity, including submitting false information, initiating fraudulent chargebacks, or impersonating another person.
  • Scraping, crawling, or otherwise extracting data from the platform without express written permission.
  • Interfering with or disrupting the integrity or performance of the platform or its infrastructure.

Violation of any of these prohibitions may result in immediate account termination without notice and without refund. BuildSFY reserves the right to report illegal activity to the appropriate authorities.

Limitation of Liability

BuildSFY's services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, BuildSFY makes no representations or warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free availability.

To the maximum extent permitted by the laws of the Province of Ontario, BuildSFY's total cumulative liability to you for any and all claims arising out of or relating to these Terms or the services — whether in contract, tort, negligence, or otherwise — shall not exceed the total amount paid by you to BuildSFY in the three (3) calendar months immediately preceding the event giving rise to the claim.

In no event shall BuildSFY or Dylan Fowler be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, the limitations above apply to the fullest extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless BuildSFY, Dylan Fowler, and any successors, assigns, agents, or contractors from and against any and all claims, actions, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and disbursements) arising out of or relating to:

  • Your access to or use of the platform or services.
  • Your violation of any provision of these Terms.
  • Your violation of any applicable law, regulation, or third-party right, including intellectual property rights or privacy rights.
  • Any content, materials, or information you submit, upload, or transmit through the platform.

BuildSFY reserves the right to assume exclusive control of the defence of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with BuildSFY in asserting any available defences.

Modifications to Terms

BuildSFY reserves the right to update, modify, or replace these Terms at any time at its sole discretion. The date of the most recent revision will be reflected in the "Last updated" notice at the top of this page.

For material changes — those that significantly affect your rights or obligations — BuildSFY will provide at least 14 days' advance notice to registered users via email to the address associated with your account. Non-material changes (such as clarifications, formatting updates, or corrections) may take effect immediately upon posting.

Your continued access to or use of the platform after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must discontinue use of the platform and may request account deletion as described in Section 08.

Governing Law & Disputes

These Terms and any dispute or claim arising out of or in connection with them — including non-contractual disputes or claims — shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. Either party may initiate this process by providing written notice to the other describing the nature of the dispute and the relief sought. The parties will have 30 days from the date of such notice to attempt to resolve the dispute informally.

If the dispute cannot be resolved through negotiation within the 30-day period, either party may pursue resolution through the courts of competent jurisdiction in the Province of Ontario. You irrevocably consent to the exclusive jurisdiction of such courts for the resolution of any such dispute.
